SEC guidelines require searchable text to accompany information presented in graphics or images.

Adding Searchable White Text

Current industry best practice is to include the text of the image directly below it in the EDGARElectronic Data Gathering, Analysis, and Retrieval (EDGAR), is a SEC system used by public companies to transmit filings of annual and quarterly reports and other disclosures. HTML, if it is not already included in the document text or tables. Typically the text is in a small font size and colored white, so that it does not change the visual appearance of the HTML for human readers, but is still searchable. You must manually set-up and update this text; for assistance from our team, contact Formatting Services.

To create this in your DM Word report:

  1. Copy/paste or type the text below the image.
  2. Select the text, then apply 1 pt font size and white font color.
  3. Preview the HTML to verify image alignment and that the text is searchable (Ctrl+F) on the browser page.

Common Examples of Filings and Graphics With Searchable Text

  • Proxy Statements (DEF 14A, DEFA14A) - charts and graphs, proxy card, proxy notice
  • 8-K with Item 7.01, Exhibit 99 - Investor Presentations originally in PowerPoint format, filed as images of the slides paired with searchable white text
