Timing of Filing

Filing Date and Acceptance Date

According to the SEC, in order to have today as your filing date, your filing must be complete by 5:30 p.m. ET.

From the SEC's EDGAR Filer Help Sheet:

The acceptance date is not the same as the official filing date. If a filing is submitted after 5:30 Eastern Time, it will not be deemed filed with the SEC until the following business day (except for the "T+3" filings, made pursuant to Rule 462(b) and Section 16 filings, which will receive the date of the actual filing). If you have any questions about your filing's acceptance date, consult the electronic acceptance message; these messages state the official filing date.

Example

For example, a Form 10-Q filed with the SEC at 6:04 p.m. ET on May 8, 2018 shows the acceptance date as the time and date of the filing, but the official filing date is the next business day, May 9, 2018.

Allowing Sufficient Time to File

When filing, you may experience delays or timeout issues with the SEC's EDGARElectronic Data Gathering, Analysis, and Retrieval (EDGAR), is a SEC system used by public companies to transmit filings of annual and quarterly reports and other disclosures. system. Delays are very common during peak volume times, such as the day of a quarterly deadline, particularly near 5:30 p.m. ET. To avoid missing deadline due to delays with the EDGAR system, we encourage filers to submit live filings prior to 3 p.m. ET.

When the Filing Appears on the SEC

Filings may appear quickly on company page in EDGAR, or during high volume times, posting may be delayed up to an estimated 45 minutes.
